UserTesting, Inc., a leader in video-based human insight, announced today that it had reached an agreement to be acquired by Thoma Bravo, a leading software investment firm, and Sunstone Partners for USD 7.50 per share in an all-cash deal worth about USD 1.3 billion.
The offer constitutes a premium of approximately 94% more than UserTesting’s stock price at the end of trading on October 26, 2022, and about 97% more than the shares’ volume-weighted average price (VWAP) for the 30 trading days ending on October 26, 2022.
Thoma Bravo and Sunstone Partners plan to combine UserTesting and UserZoom after the deal closes. Thoma Bravo acquired a majority stake in UserZoom in April 2022. Andy MacMillan, the CEO of UserTesting, will oversee the new company.
Furthermore, the new company will benefit from Thoma Bravo and Sunstone Partners’ operating skills, capital support, and industry knowledge.
The company’s products and services will develop a robust end-to-end solution in the customer experience space. This will help global companies innovate, drive revenue, manage risk, and offer better customer experiences.
